Terms of Service

Effective August 19, 2026 • Last updated August 19, 2026
Document version 2026-08-19 • SHA-256 82d02d0ca7462bfc2f0490e0bfd08e87a5371918d4e1f3719bd73c3657600ae1

1. WHO WE ARE AND WHAT THESE TERMS COVER

These Terms of Service ("Terms") form a binding agreement between you and the operator of Franchise Portal, a service operated under the Patriot Royalty brand ("Franchise Portal," "Patriot Royalty," "we," "us," or "our"). They govern your access to and use of patriotroyalty.ca, Franchise Portal web applications, APIs, Discord integrations, E.L.I. features, commissioner tools, league workspaces, and related services (collectively, the "Service").

By clicking "Agree and Continue," creating or joining a league, purchasing a commissioner subscription, connecting a Discord server or account, or otherwise using authenticated portions of the Service after these Terms are presented to you, you agree to these Terms. If you do not agree, do not use authenticated portions of the Service.

If you use the Service for an organization, league, Discord server, or other entity, you represent that you have authority to bind that entity and to grant the permissions you configure through the Service.

2. ELIGIBILITY AND AGE

You must be at least 13 years old and at least the minimum age required by law in your jurisdiction to use the Service. If you are in Quebec and under 14, you may not create an account or link Discord data unless a legally valid parental or guardian authorization process is made available to you. If you are under the age of majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Service.

You may not use the Service if applicable law, a court order, sanctions rule, platform restriction, or third-party agreement prohibits you from doing so.

3. ACCOUNTS, AUTHENTICATION, AND SECURITY

Franchise Portal currently uses third-party authentication, including Google authentication through Supabase. You are responsible for maintaining control of your Google, Discord, and other connected accounts and for promptly securing them if you suspect compromise.

You must provide accurate information, keep your account and league role information current, and not impersonate another person or misrepresent your authority. You may not share authentication tokens, import tokens, bot credentials, commissioner credentials, or other secrets. You must promptly notify us through the contact information in Section 24 if you reasonably believe your Franchise Portal account, league token, or connected integration has been compromised.

We may require additional verification, including multi-factor authentication, for commissioner, platform-owner, or other privileged actions.

4. LEAGUE ROLES AND COMMISSIONER RESPONSIBILITIES

Franchise Portal supports different roles, including platform owner, league owner, commissioner, co-commissioner, committee members, general managers, members, and applicants. Permissions depend on the role and league configuration.

A league owner or commissioner is responsible for league rules, member invitations, team assignment, staff permissions, Discord automation settings, publication decisions, and the legitimacy of information the commissioner enters or imports. Commissioner authority inside Franchise Portal does not give a commissioner any legal right to another person's account, intellectual property, Discord server, private information, or content.

If you act as a commissioner or league administrator, you represent and warrant that you have the right and authority to: (a) administer the league; (b) submit league information and logos; (c) invite or assign members; (d) connect any Discord server you authorize; (e) configure channels, roles, mentions, and automation; and (f) provide any personal information you submit about another person, subject to applicable law and the Privacy Policy.

5. MADDEN AND LEAGUE DATA IMPORTS

The Service may accept exports or data originating from Madden franchise modes, companion tools, commissioner-provided files, or other sources. You are responsible for using only data you are authorized to export, upload, transmit, or process.

Import tokens and URLs are confidential credentials. You may not publish, share, probe, reuse across unrelated leagues, or attempt to bypass league-token isolation. We may reject, quarantine, or roll back imports that are malformed, inconsistent with the configured game cycle, associated with an archived league, or reasonably suspected to be unauthorized or harmful.

Franchise Portal does not guarantee that any third-party game, companion application, export format, API, or data source will remain available or compatible. Third parties can change or discontinue their services without notice to us.

6. DISCORD INTEGRATION

If a commissioner connects a Discord server, the commissioner expressly authorizes Franchise Portal to use the permissions approved during Discord OAuth to perform the enabled league functions. Depending on settings, those functions may include creating, renaming, configuring, archiving, or deleting channels or categories; posting league notices and approved content; and mentioning linked league members for matchups or league operations.

A Discord server must be authorized through the approved connection flow. You may not attempt to bind a server you do not administer or do not have permission to connect. A linked user may unlink their Discord identity, and an authorized server administrator may remove or disconnect the Franchise Portal application.

Current Franchise Portal Discord functionality does not require ordinary server message-content access. If a future feature would materially expand the Discord data or permissions we access, we will update the applicable disclosures and request any permissions or consent required before enabling that feature.

Discord remains an independent third-party service. Your use of Discord is also governed by Discord's own terms, policies, permissions, and availability.

7. E.L.I. AND AI-ASSISTED FEATURES

E.L.I. is Franchise Portal's league-intelligence and content-assistance layer. E.L.I. may analyze verified league facts, generate summaries, suggestions, comparisons, articles, or operational guidance, and assist commissioners with league content. Some E.L.I. functions may use OpenAI's API; other functions may use deterministic or locally derived logic.

AI-assisted output can be incomplete, outdated, or wrong. You must independently verify important decisions and league actions. E.L.I. is not legal, financial, medical, employment, gambling, or professional advice. It is not a substitute for a commissioner reviewing league rules and source data.

Where Franchise Portal requires commissioner approval before public AI-generated or social content is posted, bypassing that approval control is prohibited. Users may not use E.L.I. to obtain hidden, private, or unrevealed scouting information; to circumvent role permissions; or to infer protected data that the Service is designed not to reveal.

8. USER CONTENT AND LEAGUE CONTENT

"User Content" includes league names, custom logos, rules, descriptions, commissioner notes, feedback, recruiting materials, roster requests, trade content, media content, and other material submitted by users.

You retain ownership of User Content you own. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, format, transmit, display, process, and create technical derivatives of User Content solely as reasonably necessary to operate, secure, improve, and provide the Service and the features you request. This license ends when the content is deleted from active systems, except for copies reasonably retained in backups, security records, legal records, or shared league history as described in the Privacy Policy.

You represent that you have all rights necessary to submit User Content and that doing so does not infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights.

9. PUBLIC AND PRIVATE LEAGUE INFORMATION

Some Service areas are public, such as published league profiles, standings, draft classes, power rankings, league rules, recruiting information, or commissioner-approved news. Other information is restricted by league role, such as private GM boards, unpublished scouting information, trade discussions, committee materials, security records, and administrative settings.

You must respect these access boundaries. Accessing information because of a software defect does not give you permission to use, copy, disclose, or retain it. If you encounter data you reasonably believe you should not be able to access, stop accessing it and report the issue.

10. SUBSCRIPTIONS, BILLING, TAXES, AND CANCELLATION

Some commissioner features may require a paid subscription. Prices, billing intervals, taxes, renewal terms, and the service being purchased will be shown before checkout or in the applicable billing flow. Payments may be processed by Stripe or another disclosed payment processor. Franchise Portal does not intentionally receive or store full payment-card numbers.

A recurring subscription renews for the billing interval disclosed at purchase unless cancelled before the next renewal date. You may cancel future renewal using any billing-management method we make available or by contacting us at the address in Section 24. Cancellation stops future renewal but does not automatically create a retroactive or prorated refund for a period already billed, except where required by applicable law or expressly stated at purchase.

Taxes imposed by law may be added to the displayed price. We will not impose undisclosed mandatory non-government fees. You are responsible for keeping billing contact information current.

If a payment is reversed, disputed, fraudulent, or overdue, we may suspend paid commissioner features while preserving legally required access to account or privacy controls. We will not intentionally use billing suspension to prevent a user from exercising non-waivable statutory rights.

11. ACCEPTABLE USE

You may not use or attempt to use the Service to: violate law or third-party rights; harass, threaten, defraud, or impersonate; distribute malware; obtain another person's credentials or tokens; bypass authentication, RLS, role controls, league isolation, rate limits, security controls, or privacy settings; access another league's private information without authorization; scrape or systematically harvest personal information; overload, disrupt, reverse engineer, or attack the Service except as expressly permitted by law; exploit vulnerabilities rather than report them; automate abusive requests; falsify imports or evidence; manipulate committee or voting systems through unauthorized identities; publish another person's confidential information; or use Discord API data for advertising, profiling, eligibility decisions, surveillance, discrimination, or purposes unrelated to the stated bot functionality.

You also may not upload content you do not have a right to use, including infringing logos or copyrighted media.

12. FAIR PLAY, PICK'EM, AND NO WAGERING SERVICE

Franchise Portal may provide predictions, rankings, confidence scores, pick'em, or similar entertainment features. These features are for league entertainment and analysis. Franchise Portal does not operate a sportsbook, accept wagers, hold betting funds, or promise that predictions are accurate. Do not use Service output as gambling advice.

13. INTELLECTUAL PROPERTY

Except for User Content and third-party materials, Franchise Portal's software, original branding, interface, databases, documentation, designs, and original content are owned by or licensed to the operator and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended personal or league-management purposes. No rights are granted to copy, resell, sublicense, create a competing hosted service from, or commercially exploit the Service except with our written permission.

14. THIRD-PARTY SERVICES AND TRADEMARKS

The Service integrates with or depends on independent third parties that may include Google, Supabase, Vercel, Discord, Stripe, OpenAI, database providers, and game/export ecosystems. Those services are governed by their own terms and privacy policies, and we are not responsible for changes, outages, suspensions, data practices, or acts of third parties outside our reasonable control.

Franchise Portal and Patriot Royalty are independent products and are not endorsed by, sponsored by, or affiliated with Electronic Arts Inc., EA SPORTS, the National Football League, NFL teams, Discord Inc., Google LLC, Stripe, Inc., OpenAI, L.L.C., or their affiliates unless expressly stated otherwise. Third-party names, games, logos, and trademarks belong to their respective owners. References are descriptive and do not imply endorsement.

15. FEEDBACK

If you voluntarily submit product feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use the ideas and suggestions without restriction or compensation, provided that this does not give us ownership of personal information or confidential league content and remains subject to the Privacy Policy.

16. SERVICE CHANGES, BETA FEATURES, AND AVAILABILITY

We may add, modify, suspend, or discontinue features for security, legal, technical, product, or business reasons. Experimental, preview, or beta functionality may change more frequently and may contain defects.

We aim to operate the Service reliably but do not promise uninterrupted availability, permanent compatibility with third-party data sources, or that every defect can be prevented. Planned maintenance, emergency maintenance, third-party outages, Internet failures, security incidents, force majeure events, and changes to external platforms can affect availability.

17. BACKUPS AND DATA INTEGRITY

We use safeguards and data-integrity controls, but you remain responsible for keeping copies of critical league rules, commissioner records, and any data you are legally or operationally required to retain. Do not treat Franchise Portal as the sole archival copy of irreplaceable records.

18. SUSPENSION AND TERMINATION

You may stop using the Service at any time. Commissioners may archive or close leagues subject to the available controls. Users may unlink integrations and request account/privacy actions as described in the Privacy Policy.

We may suspend, restrict, or terminate access when reasonably necessary to protect users, leagues, third parties, the Service, or legal compliance, including for serious or repeated Terms violations, fraud, unauthorized access, security abuse, non-payment of paid features, or legal requests. Where reasonable and lawful, we will use proportionate measures and preserve required privacy/account rights.

Sections that by their nature should survive termination survive, including intellectual property, payment obligations already incurred, disclaimers, liability limits, indemnity, dispute provisions, and lawful retention of records.

19. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM WARRANTIES AND CONDITIONS NOT EXPRESSLY STATED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.

Nothing in these Terms excludes or limits a warranty, condition, remedy, or consumer right that applicable law does not permit us to exclude or limit.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRANCHISE PORTAL, PATRIOT ROYALTY, AND THEIR OPERATORS, PERSONNEL, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, LOSS OF USE, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE DURING ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO FRANCHISE PORTAL FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) CAD $100.

These limits do not apply where prohibited by law and do not limit liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, or other categories that applicable law requires to remain available.

21. INDEMNITY

To the extent permitted by law, if you use the Service as a commissioner, league administrator, or commercial/organizational representative, you agree to defend, indemnify, and hold harmless Franchise Portal and its operators from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from your unauthorized league administration, infringement by your User Content, unlawful disclosure of another person's information, unauthorized Discord-server connection, or material violation of these Terms. This obligation does not apply to the extent a claim was caused by our own breach, negligence, wilful misconduct, or violation of law.

22. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any non-waivable right you have under consumer, privacy, small-claims, or other applicable law to bring a proceeding elsewhere, the courts located in Ontario, Canada will have jurisdiction over disputes relating to these Terms or the Service.

Before starting formal proceedings, we encourage you to contact us and provide a reasonable opportunity to resolve the dispute. Nothing in this section prevents either party from seeking urgent injunctive relief or exercising a statutory complaint or regulatory right.

We do not require mandatory private arbitration or a class-action waiver where doing so would impair a non-waivable consumer right.

23. CHANGES TO THESE TERMS

We may update these Terms to reflect legal, security, product, pricing, or operational changes. We will post the updated Terms with a new "Last updated" date. If a change is material, we will provide additional notice appropriate to the change and, where required or appropriate, require authenticated users to accept the updated version before continuing to use private Service features.

25. GENERAL

These Terms, the Privacy Policy, and any specific terms presented at purchase or for a particular feature form the entire agreement governing your use of the Service on the subject matter they cover. If a specific feature term conflicts with these Terms, the more specific term controls for that feature unless applicable law requires otherwise.

If any provision is unenforceable, it will be enforced to the maximum extent lawful and the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, but we may assign them in connection with a reorganization, financing, sale, merger, or transfer of the Service, subject to applicable law and the Privacy Policy.

Headings are for convenience only. The words "including" and "includes" mean "including without limitation." Electronic records and acceptance may be used to evidence this agreement to the extent permitted by law.
